"Agreement" refers to these Terms & Conditions together with any engagement letter or service agreement entered into between you and Verdant Counsel. "Content" refers to all text, information, and materials published on our website or provided through our services.

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use our website or services. You must be at least 18 years of age and have the legal capacity to enter into agreements under Vietnamese law to use our services.

Verdant Counsel provides legal services including initial consultations and case reviews, document preparation and review, and full legal representation before Vietnamese courts and tribunals. Our services are available to individuals and businesses with legal matters falling under Vietnamese jurisdiction. Specific service scope, timelines, and fees are outlined in individual engagement agreements.

4. User Responsibilities

When using our website or engaging our services, you agree to provide accurate and complete information when submitting inquiries or entering into service agreements. You agree not to use our website for any unlawful purpose or in any way that could damage, disable, or impair the site's functionality. You agree to maintain the confidentiality of any case-related information shared between parties during an engagement. You agree not to reproduce, distribute, or misrepresent any content from our website without prior written permission.

5. Intellectual Property

6. Payment Terms

Fees for our services are quoted in Vietnamese Dong (VND) and are communicated prior to the commencement of any engagement. Payment terms, including amounts, schedules, and accepted methods, are specified in the engagement agreement for each service. We reserve the right to adjust our fee schedule; however, any changes will not affect fees already agreed upon in an existing engagement. Where applicable, invoices are issued upon completion of work or at agreed milestones.

7. Service-Specific Terms

For Consultations: Consultation fees are payable in advance. The session covers the topics discussed during the allocated time. Follow-up questions outside the session scope may incur additional fees as agreed.

For Document Services: Turnaround times are estimates and may vary based on complexity. Revisions within the agreed scope are included; substantial changes to scope may be subject to additional charges. Completed documents are delivered upon receipt of final payment.

For Representation: Engagement agreements specify the scope of representation, fee structure, and expected timeline. Either party may terminate the engagement in accordance with the termination provisions of the engagement agreement and applicable professional rules.

We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, business interruption, or loss of data, even if we have been advised of the possibility of such damages. This limitation does not apply to liability that cannot be excluded under Vietnamese law.

10. Indemnification

You agree to indemnify and hold harmless Verdant Counsel, its practitioners, and staff from any claims, damages, or expenses arising from your breach of these Terms & Conditions, your misuse of our website, or any inaccurate information you provide during an engagement.

11. Termination

Either party may terminate a service engagement in accordance with the terms specified in the relevant engagement agreement. Upon termination, you remain responsible for fees incurred for work performed up to the date of termination. We may suspend or restrict access to our website if we reasonably believe you are in violation of these terms. Sections of these terms that by their nature should survive termination — including intellectual property, limitation of liability, and indemnification — shall remain in effect.

12. Dispute Resolution

These Terms & Conditions are governed by the laws of the Socialist Republic of Vietnam. Any disputes arising from or related to these terms or our services shall first be addressed through good-faith negotiation between the parties. If negotiation does not resolve the dispute within thirty (30) days, either party may submit the matter to mediation or arbitration administered by the Vietnam International Arbitration Centre (VIAC), or pursue resolution through the competent courts of Ho Chi Minh City.

13. General Provisions

These Terms & Conditions, together with any applicable engagement agreement, constitute the entire agreement between you and Verdant Counsel regarding the subject matter herein. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full effect. Our failure to enforce any provision of these terms shall not constitute a waiver of that provision. You may not assign your rights under these terms without our prior written consent. Notices may be provided via email to the addresses on file or as specified in the relevant engagement agreement.

14. Changes to These Terms

We reserve the right to modify these Terms & Conditions at any time. Changes will be effective upon posting on this page with a revised "Last Updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms. For active engagements, changes to terms will be communicated directly and will not affect existing engagement agreements without mutual written consent.
